1. Acceptance of Terms
By installing or using our Shopify Apps or WordPress plugins (“Apps”), you agree to be bound by these Terms of Service. If you do not agree, you must not use our Apps.
2. License
- For Shopify Apps: you are granted a non-exclusive, non-transferable license to use the App on your Shopify store, subject to Shopify’s App Store terms.
- For WordPress Plugins and Software Products: you are granted a non-exclusive, non-transferable, revocable license to use the product in accordance with the applicable license purchased from Vertim Coders.
- For SaaS Products and Subscription Services: access is granted for the duration of an active subscription. Access may be limited, suspended, or terminated if the subscription expires or is canceled.
- You may not resell, redistribute, or modify our Apps without prior written permission.
3. Use of Services
You agree not to:
- Use our Apps for unlawful, harmful, or fraudulent activities.
- Attempt to copy, reverse-engineer, or bypass license restrictions.
- Interfere with the security, stability, or availability of our Apps.
We reserve the right to suspend or terminate access if these Terms are violated.
4. Payments & Subscriptions
- Shopify Apps: payments and subscriptions are handled directly by Shopify. Billing, upgrades, downgrades, or cancellations must be managed in your Shopify account.
- WordPress Plugins and Direct Purchases: payments, subscriptions, and licenses purchased directly from Vertim Coders are governed by our Refund Policy and applicable purchase terms.
5. Updates & Modifications
We may update our Apps regularly to ensure compatibility, add features, or fix issues. We are not obligated to maintain backward compatibility with outdated environments.
6. Professional Services
Custom development, consulting, design, implementation, and other professional services provided by Vertim Coders are governed by the specific agreement, proposal, or contract applicable to the project.
7. Support
Support is provided as described in our [Refund & Support Policy]. We strive to assist within reasonable timeframes but do not guarantee resolution of all issues.
8. Limitation of Liability
To the maximum extent permitted by law, Vertim Coders, LLC shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of data, profits, or business opportunities.
- Issues caused by third-party services, plugins, or themes.
Our total liability shall not exceed the amount paid by the customer for the applicable product or service during the twelve (12) months preceding the claim.
9. Intellectual Property
All Apps, software, documentation, trademarks, designs, logos, source code, and related materials remain the exclusive property of Vertim Coders, LLC.
No ownership rights are transferred to the customer through the purchase, subscription, or use of any product or service.
10. Termination
We may suspend or terminate your use of our Apps if you breach these Terms. Upon termination, your right to use the App immediately ceases.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States and the applicable laws of the state in which Vertim Coders, LLC is registered, without regard to conflict of law principles.
